1. Acceptance of Terms

By accessing or using the Four Hawk Social platform (the "Service"), operated by Four Hawk Social ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree with these Terms, you must not access or use the Service.

2. Description of Service

Four Hawk Social is a social media management platform designed for agencies and businesses. The Service enables users to:

  • Connect and manage social media accounts across multiple platforms
  • Create, schedule, and publish content to connected social media accounts
  • View analytics and performance metrics from connected accounts
  • Manage client accounts, team members, and approval workflows
  • Upload and manage media assets for social media content
  • Monitor and respond to social media engagement via a unified inbox

3. Account Registration and Security

Access to the Service is by invitation only. When you are invited to join, you agree to:

  • Provide accurate and complete registration information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Connecting Social Media Accounts

The Service allows you to connect third-party social media accounts via OAuth authorization. By connecting an account, you:

  • Authorize us to access and interact with the connected platform on your behalf, within the scope of permissions you grant
  • Represent that you have the authority to connect and manage the social media accounts you link to the Service
  • Acknowledge that your use of connected platforms remains subject to those platforms' own terms of service and policies
  • Understand that platform API availability, features, and rate limits are controlled by the respective platforms and may change without notice

You may disconnect any social media account at any time through the Service settings.

5. User Content

5.1 Ownership

You retain ownership of all content you create, upload, or publish through the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit your User Content solely for the purpose of providing the Service.

5.2 Responsibility

You are solely responsible for the User Content you create and publish through the Service. You represent and warrant that:

  • You own or have the necessary licenses, rights, and permissions to use and publish the User Content
  • Your User Content does not infringe any third party's intellectual property rights, privacy rights, or other legal rights
  • Your User Content complies with the terms of service and community guidelines of the platforms to which it is published
  • Your User Content does not contain unlawful, defamatory, obscene, or otherwise objectionable material

5.3 Content Removal

We do not proactively monitor User Content. However, we reserve the right to remove or disable access to User Content that violates these Terms or applicable law.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Publish spam, misleading content, or content designed to artificially inflate engagement
  • Attempt to gain unauthorized access to the Service, other user accounts, or connected platforms
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use the Service to scrape, collect, or harvest data beyond the scope of the Service features
  • Violate the terms of service, developer policies, or API terms of any connected social media platform
  • Resell or sublicense access to the Service without our written consent

7. Third-Party Services and Platforms

The Service integrates with third-party social media platforms. We are not responsible for:

  • The availability, accuracy, or reliability of third-party platform APIs
  • Changes to third-party platform terms, policies, features, or API functionality
  • Any loss of data or functionality resulting from third-party platform changes
  • Actions taken by third-party platforms regarding your accounts or content

We will make reasonable efforts to maintain integrations with supported platforms, but we cannot guarantee uninterrupted access to third-party services.

8. Subscription and Payment

Access to the Service may require a paid subscription. Specific pricing, billing terms, and subscription details will be provided at the time of purchase. We reserve the right to modify pricing with reasonable advance notice.

9. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by Four Hawk Social and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Content published through the Service will be delivered successfully to all platforms
  • Analytics data will be complete or accurate
  • The Service will meet your specific requirements

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUR HAWK SOCIAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Four Hawk Social, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. You may terminate your account at any time by contacting us. Upon termination:

  • Your right to use the Service ceases immediately
  • We will delete your data in accordance with our Privacy Policy
  • Provisions that by their nature should survive (including indemnification, limitation of liability, and dispute resolution) will survive termination

15. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or a prominent notice within the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

17. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Four Hawk Social regarding the Service
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction
